Ellifo grants the user institution a non-exclusive, non-transferable license to access and use the platform based on the selected subscription plan.
This license covers use of the Ellifo platform, its modules, and related mobile applications by your institution's authorized administrators, staff, students, and parents for the duration of your active subscription. It does not transfer any ownership of the underlying software, and the license may not be resold, sublicensed, or extended to any entity outside your institution without our prior written consent. Access granted under this license is scoped to the modules and user counts included in your selected plan; institutions wishing to expand usage should upgrade their subscription accordingly.
Fees are billed monthly or annually in advance. Failure to pay within the grace period may result in temporary suspension of services.
Invoices are issued ahead of each billing cycle based on the plan and modules your institution has selected, and payment is due within the timeframe stated on the invoice. If payment is not received within the applicable grace period, access to the platform may be temporarily suspended until the outstanding balance is settled, though your institution's data is retained and not deleted during a short suspension. Any changes to your subscription tier, added modules, or billing frequency will be reflected in your next invoice, and we will notify your institution's billing contact in advance of any pricing changes.
Ellifo shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services.
This includes, without limitation, loss of data resulting from institution-side misuse, loss of anticipated administrative time savings, or business interruption not directly caused by a failure on our part to deliver the core service. Our aggregate liability under these terms, to the extent permitted by applicable law, is limited to the fees paid by your institution for the service in the twelve months preceding the event giving rise to the claim. Nothing in this section is intended to exclude liability that cannot lawfully be excluded, such as liability arising from gross negligence or willful misconduct.
